The Official Gazette published the Ministry of Transport’s decision issued regarding the Holding Company for Roads, Bridges and Land Transport Projects, related to the decisions of the Extraordinary General Assembly No. 56 of the Nile General Company for Roads and Bridges S.A.E., one of the holding company’s subsidiaries.

Increasing the capital of the Nile General Company for Roads and Bridges to 210 million pounds and changing its trade name

The newspaper explained that the company’s extraordinary general assembly, in its session held on December 25, 2024, decided to increase the capital of the Nile General Company for Roads and Bridges from 100.668 million pounds to 210 million pounds, an increase of 109.331 million pounds, provided that the increase is financed from legal, regulatory, capital and other reserves.

The Assembly also approved amending the text of Article 46 of the company’s articles of association, published in the Egyptian Gazette, so that after the amendment it stipulates that net profits will be distributed annually after deducting all general expenses and other costs, provided that 5% of the profits are deducted to form the legal reserve, and this deduction continues until the reserve reaches 50% of the issued capital, with the deduction returning if it falls below this percentage.

The amendment also stipulates that a percentage of net profits may be set aside to form other reserves, up to a maximum of 25%, on the condition that the reasons for their formation are determined, and that they are allocated for purposes that achieve the interest of the company, after their approval by the General Assembly.

The 59th Extraordinary General Assembly of the Nile General Company for Roads and Bridges also decided. T.S.C., one of the subsidiaries of the Holding Company for Roads, Bridges and Land Transport Projects, at its session held on May 28, 2025, approved amending the trade name of the Nile General Company for Roads and Bridges to become the Nile General Company for Roads, Bridges and Marine Works, while taking all legal measures to announce the new name.
